NAPA Power Sports Extreme Machine SWEEPSTAKES

Official Rules:

By submitting an entry, you consent and agree that (i) you have read and agree to the Official Rules and (ii) Sponsors and Promotional Partner may use the information you supply on the entry form for marketing purposes and to provide entrant with information about Sponsors’ and Promotional Partner’s products, services and special offers and as described in the Official Rules.

NO PURCHASE NECESSARY TO ENTER OR WIN PRIZES: The NAPA Power Sports Extreme Machine Sweepstakes ("Sweepstakes") is sponsored by NAPA Filters(a division of Wix Filtration Corp.) (One Wix Way, Gastonia, NC 28054), Rayloc (a division of Genuine Parts Company) (600 Rayloc Dr., SW, Atlanta, GA  30336), and NAPA Batteries, (13000 Deerfield Parkway, Bldg. 200, Alpharetta, GA 30004) (collectively “Sponsors”).  The Sweepstakes is governed by these Official Rules.  By participating in the Sweepstakes, each entrant agrees to these Official Rules and understands the results of the Sweepstakes and all decisions of the Sweepstakes’ Sponsors are final.  All Federal, State and Local laws apply.  Void where prohibited by law. The Sweepstakes begins at 12:01 am Eastern Time, May 1, 2007 and ends at 11:59 pm Eastern Time, May 31, 2007 (“Sweepstakes Period”).  Odds of winning depend on the number of eligible entries received.

1) Who Can Enter: To be eligible to enter the Sweepstakes, entrant must (i) be 21 years of age or older at the time of entry, and (ii) a legal resident of one of the 48 continental U.S., D.C., Hawaii or Alaska and, if entering online, (iii) have Internet access and a valid e-mail account prior to the beginning of the Sweepstakes Period.   Employees of NAPA Filters, Rayloc, NAPA Batteries, Genuine Parts Company and Wix Filtration Corp., the Promotional Partner (as defined below), their vendors, participating retailers, affiliates, subsidiaries and promotion agencies and their immediate family members and those living in the same household of each (collectively, the “Sweepstakes Parties”) are not eligible to enter or win. The Sponsors have the right to verify the eligibility of all winners.

2) How To Enter Sweepstakes: There are two methods to enter the Sweepstakes.

Method #1 – Mail-in Entry:  To enter the Sweepstakes by mail, obtain an official Sweepstakes entry form available (while supplies last) from displays at participating NAPA Auto Parts stores. On the official entry form, handprint your complete name, age, street address, zip code, plus daytime and evening telephone numbers and personal email address. (If you do not have a telephone or email address, write "No Phone" and “No Email Address,” as applicable.  P.O. Box addresses will not be accepted as valid.)  Only those entrants named on valid entry forms will be eligible to win a prize. Failure to complete the entry form completely or not following the Official Rules will result in your disqualification. Place the fully completed official entry form in a stamped envelope and mail to NAPA Power Sports Extreme Machine Sweepstakes, P.O. Box 6091, Douglas, AZ 85655-6091.  Mail-in entries must be postmarked on or before May 31, 2007 and received by June 10, 2007 to be eligible to win one of the Sweepstakes grand prizes. To be eligible to win one of the weekly prizes, mail-in entries must be received by the weekly drawing entry receipt deadlines set forth below. NAPA Auto Parts stores will not accept entries.  No photocopies, facsimile, or mechanically reproduced entries will be accepted.  Limit of one mail-in entry per outside envelope. 

Method #2 - Online Entry: Website entry forms are available on the NAPA Power Sports Extreme Machine Sweepstakes website that can be accessed by visiting www.napafilters.com and clicking the “NAPA POWER SPORTS EXTREME MACHINE SWEEPSTAKES” link (“Sweepstakes Website”). You may enter the Sweepstakes online by transmitting to Sponsors, as directed on the Sweepstakes Website, a fully completed online entry form, which includes: name, age, street address, city, zip code, email address, plus daytime and evening telephone numbers. (If you do not have a telephone, insert "No Phone." P.O. Box numbers are not considered as a valid address.) Failure to complete the entry form completely or not following the Official Rules will result in your disqualification. After transmitting the required information on the online form, the entrant will receive one entry into the Sweepstakes. Online entries must be received by 11:59 pm Eastern Time on May 31, 2007 to be eligible to win one of the Sweepstakes grand prizes.  Additional online entry receipt deadlines for weekly prizes are set forth below.   

Online entries are limited to one entry per day per entrant with a maximum online entry total of 10 online entries per entrant.  Use of any automated program to enter will result in disqualification.  Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified.  In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. 

Receipt of entries will not be acknowledged, nor will proof of submission of any entry be deemed proof of receipt. All entries become the exclusive property of the Sponsors. All valid entries received by mail or via website by the deadlines set forth in these Official Rules are eligible for the Sweepstakes prize drawings associated with such deadlines. The Sponsors, their affiliates and agents, are not responsible for lost, late, incomplete, invalid, illegible, mutilated, misdirected entries or entries not received in time for the random drawing. The Sponsors, their affiliates and agents, are not responsible for technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, line failures or malfunctions or any telephone network, computer equipment or software, the inability to access any website or online service or any other human or other error or malfunction.

3) Sweepstakes Prizes:

Sweepstakes Grand Prizes:   A total of four (4) grand prizes will be awarded.  Each grand prize winner will receive his/her choice of one of the following grand prize choices:

• a Yamaha Raptor 700R ATV (approximate retail value $7,199.00),
• a Yamaha VX watercraft (approximate retail value $7,399.00),
• a Yamaha YZ450F off-road motorcycle (approximate retail value $6,999.00), or
• a Yamaha Phazer GT snowmobile (approximate retail value $7,199.00).

Grand prize winners will be responsible for all costs, taxes, and expenses not specified as part of the prize, including but not limited to: dealer fees, all federal, state and local sales tax, luxury tax, destination charges, registration, title and licensing fees, insurance, and all other costs incurred in claiming, registering or using the prize.  The grand prize winners are responsible for all applicable taxes and expenses during his/her ownership and operation of the prize including, but not limited to, income, property or use taxes and repair and maintenance costs. 

Grand prize winners must present a valid State driver’s licenseand satisfactory proof of insurability, if required, prior to delivery of grand prize.  The grand prize selected by a grand prize winner will be delivered to the local Yamaha dealership closest to that grand prize winner’s home address (“Dealer”).  Transportation of the grand prizes from the Dealer to the grand prize winner’s home is the responsibility of the grand prize winner.   

Sweepstakes Weekly Prizes: A total of twenty-eight (28) weekly prizes will be awarded.  Weekly prize winners will receive a NAPA Power Sports Hat.  The approximate retail value of each weekly prize is $20.  Sweepstakes weekly prize winners are responsible for any and all income taxes or other taxes resulting from receipt of a weekly prize.

4) Winner Selection:

Grand Prizes:  On or before June 30, 2007, four (4) NAPA Power Sports Extreme Machine SWEEPSTAKES potential Grand Prize Winners will be randomly selected from all eligible entries received during the Sweepstakes Period.   

Weekly Prizes:  Beginning on May 10, 2007, seven (7) potential weekly prize winners will be selected based on a random drawing each week from among all eligible entries received by the Weekly Drawing Entry Deadline (provided below).  Winners for each weekly drawing will be selected on or about the Drawing Dates specified below.  A total of twenty-eight (28) weekly prize winners will be selected during the Sweepstakes.  Eligible entries that are not selected as a winner in one weekly drawing will remain eligible for subsequent drawings during the Sweepstakes Period.  The last weekly drawing will occur on or about May 31, 2007. 

All weekly prizes will be shipped to confirmed winners.

5) Prize Notification:  The potential grand prize winner will be notified by phone, e-mail, mail, or certified mail, where required by law, on or before July 1, 2007.  If an entrant cannot be reached by Sponsors after three attempts or does not respond to the prize notification within seven (7) days, using contact information provided by the entrant, or if the prize notification is returned as undeliverable, that entrant will be disqualified and an alternate winner will be randomly selected from all eligible entries.  Each selected entrant must comply with the Official Rules in order to be confirmed the winner of a prize. 

6) Additional Requirements: Prizes consist of those items listed as Sweepstakes prizes. Prizes are non-transferable and must be accepted as awarded.  Except as provided in these Official Rules, no substitution or cash equivalent of prizes will be awarded.  Sponsors reserve the right not to award prizes if an insufficient number of prize entries are received.  Sponsors reserve the right to substitute a prize of the same or greater value, in Sponsors’ sole and absolute discretion, if any prize is unavailable.  Limit of one (1) weekly prize winner per family/household.  Weekly prize winners remain eligible for Grand Prize drawings.  Limit one NAPA Power Sports Extreme Machine SWEEPSTAKES Grand Prize Winner per family/household. 

Upon the request of Sponsors, potential grand prize winners must execute and return to Sponsors an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form and IRS-W9 forms within three (3) days of delivery of the forms to the potential winner. Failure to return all of the forms specified or the return of any prize notification as undeliverable will result in disqualification and an alternate prize winner will be selected from eligible entries. All potential winners must be 21 years old to be able to be considered a valid winner. Sponsors reserve the right to verify potential winner's compliance with these Official Rules.

Sponsors are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of any prizes. WIX FILTRATION CORP., NAPA FILTERS, RAYLOC, NAPA BATTERIES, GENUINE PARTS COMPANY AND THEIR RESPECTIVE MANAGEMENT AND ASSOCIATED AGENCIES WILL NOT BE HELD LIABLE FOR ANY DAMAGES OR PROBLEMS THAT MAY OCCUR FROM THE RESULT OF WINNING ANY OF THE SWEEPSTAKES PRIZES. The Sponsors reserve the right to terminate, withdraw or amend the Sweepstakes or any portion of this promotion for any reason without notice, including, without limitation, if the Sweepstakes cannot be operated as planned, or if Sponsors suspect that tampering has occurred; in such case selection of prize winners may be made from all eligible entries received up to the time of such termination, withdrawal or amendment.  Sponsors reserve the right to terminate or amend all or any portion of this promotion, without notice, if required by applicable law. 

7) Promotional Partner:  YAMAHA, USA is the “Promotional Partner” for the purpose of this Sweepstakes. 

8)INDEMNIFICATION AND LIMITATION OF LIABILITY: by ENTERING THIS SWEEPSTAKES, EACH ENTRANT agrees to INDEMNIFY, release and hold harmless Sponsors and Sweepstakes Parties, their PARENTs, subsidiaries, affiliates, distributors, VENDORS, advertising and promotionAL agencies, suppliers and all their respective officers, directors, employees, representatives and agents from any liability, damages, losses or injury resulting in whole or in part, directly or indirectly, from that ENTRANT’S participation in the sweepstakes and the acceptance of any PRize that may be won.  Sponsors and sweepstakes parties do not make any warranties, express or implied, as to the condition, fitness or merchantability of any of the prizes.  SPONSORS AND SWEEPSTAKES PARTIES, THEIR PARENTS, subsidiaries, affiliates, distributors, VENDORS, advertising and promotionAL agencies, suppliers and all their respective officers, directors, employees, representatives and agents DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM OR OTHER PROPERTY RESULTING FROM ACCESS to OR the DOWNLOAD of INFORMATION OR MATERIALS CONNECTED WITH THe SWEEPSTAKES, including but not limited to the Online entries.

Entrant agrees that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs (but in no event including attorneys’ fees, disbursements or court costs) and under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages, and any other damages, other than for actual out-of-pocket costs.

9) Verification:  All potential winners are subject to verification by Sponsors, whose decisions are final and binding.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAS BEEN VERIFIED AND THE ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.   

10) Privacy:  Other than as provided herein, information provided by an entrant on the entry form will be used by Sponsors in accordance with the Privacy Policy provided on www.napafilters.com.  Sponsors may use information provided by an entrant (including e-mail address) for marketing purposes and to provide entrant with information about Sponsors’ products, services and special offers.  In addition, Sponsor reserves the right to share information provided by entrants (including e-mail address) with the Promotional Partner and Promotional Partner may use an entrant’s information for marketing purposes and to provide entrant with information about Promotional Partner’s products, services and special offers.  Upon submitting an entry, entrant expressly consents and agrees that Sponsors and Promotional Partner may use the information entrant supplies on the entry form as set forth in these Official Rules, including this Section 10.    

11) Publicity:  By submitting an entry form, each entrant grants Sponsors and those acting under its authority permission to use his/her name, likeness, or comments for advertising and publicity purposes without payment of additional consideration, except where prohibited by law.    

12) List of Winners: The names of grand prize winners will be available 45 days after close of contest. Send a separate, stamped, self-addressed (#10) envelope to: NPS EXTREME MACHINE SWEEPSTAKES Prize Winners, c/o THE NAPA BRAND MANAGER, One Wix Way, Gastonia, N.C. 28054.
